CONSTITUTION

NAME

The name of the organisation shall be ALL INDIA BANK OFFICERS’ CONFEDERATION (AIBOC). For brevity, it shall be referred in this Constitution as ‘CONFEDERATION’

REGISTERED OFFICE

The Registered Office of the Confederation shall be at PTI Building, 4, Parliament Street, New Delhi-110 001.

CENTRAL OFFICE

The Central Office of the Confederation shall be at the place from where the General Secretary functions or at any other center as may be decided by the Executive Committee from time to time.

JURISDICTION

The jurisdiction of the Confederation shall extend to the whole of the territory of the Indian Union. However, for the purpose of legal proceedings against the Confederation, the jurisdiction shall be limited to the place(s) where the Registered Office of the Confederation is located.

OBJECTS

The Confederation shall function to achieve the following objects subject to the policies and programmes adopted by the General Council from time to time:

  • To organize and unite all persons employed in Supervisory, Administrative and Managerial capacities in Banks and other Financial Institutions and to develop camaraderie and esprit de – corps amongst them;
  • To affiliate, federate or Confederate all the Associations and/or Federations of Officers of Banks and other Financial Institutions in Public Sector, Private Sector and Co-operative Sector;
  • To affiliate or federate with other organizations in India having identify of objects and policies with the Confederation;
  • To secure for Officers of Banks and other Financial Institutions through negotiation, collective bargaining or any other constitutional and legal process, adequate compensation for the services rendered by them to the Banks and other Financial Institutions, fair conditions of service and terminal benefits, effective machinery for redressal of grievances and protection against victimisation and exploitative practices of the management;
  • To do all that is necessary and possible, through legitimate means, for raising the standard of life, efficiency and knowledge to secure health, well being, career, happiness and to promote and safeguard the interests, rights and privileges of the Officers of Banks and other Financial Institutions;
  • To encourage thrift and co-operation amongst members and to that end promote co-operative societies;
  • To provide legal assistance and render aid to Officers of the Banks and other Financial Institutions;
  • To edit and publish books, periodical(s), voicing amongst other matters, grievances of the Officers and containing matters of interest to them, for circulation amongst all the Officers of Banks and Financial Institutions and other persons in the Financial Sector;
  • To raise funds, borrow money from Banks or others, secured by a mortgage on the property of the Confederation or otherwise or to raise clean loans or deposits unsecured;
  • To own, acquire, purchase, sell or lease, property including immovable property for carrying on the activities of the Confederation;
  • To invest the money of the Confederation not immediately required in such investments as may from time to time be determined;
  • To draw, make, accept, endorse and negotiate cheques, promissory notes, bills of exchange, hundies and other negotiable instruments in pursuance of the objects of the Confederation;
  • To do all such other things as are necessary to further the objectives of the Confederation and/or its affiliates or members;
  • To provide assistance, financial or otherwise for consolidation of Supervisory, Managerial and Professional Workers Trade Union Movement and also to make grants to any Central Trade Union of Professional Workers or other fraternal organisations having same or similar objectives;
  • To establish, run, manage and administer on its own or in collaboration with other Trade Unions, educational institutions and more particularly institutions for Trade Union Training Development and Research and for enhancing professional skills of the workers and also to provide financial assistance for similar endeavour and activities;

ADMINISTRATIVE SET UP

1. The administrative set up of the Confederation shall be:

  • Central Office;
  • State Units;
  • District Units;
  • Sectoral Federations.

2. The Central Office of the Confederation shall be in the charge of the General Secretary, assisted by other office-bearers stationed at the Head Quarters of the Confederation;

3. STATE UNITS: The Executive Committee may establish administrative units, with ` jurisdiction over the entire or part of the area of a State or Union Territory or over a group of States together;

4. DISTRICT UNITS: A Unit of the Confederation shall be established for each District;

5. Each State/District Unit shall be in-charge of Secretary, assisted by other office- bearers stationed at the Headquarters of the respective State/District Unit.

HARMONIOUS FUNCTIONING

For harmonious functioning of the various offices, units and Sectoral Federations, the Executive Committee may issue and revise from time to time, directions, instructions or guidelines.

HONORARY MEMBERS, ASSOCIATE MEMBERS AND AFFILIATES

1. Honorary Members: On the recommendation of the Executive Committee, the General Council may co-opt as Hon.Members, persons having background of Trade Union and social activities and experience or persons with knowledge, skill and experience in banking, Economy, Rural Development, Labour movement, education and training, and having sympathy to Officers’ movement, for such term as the General Council may specify;

  • PERMANENT INVITEES:On the recommendations of the Affiliates of the Confederation the Executive Committee may co-opt persons who have retired from active service but are continuing as representatives of their respective organisations as elected office-bearers as permanent invitees to EC from time to time.
  • The number of Hon. Members as also permanent invitees as defined in clause 3.4a.(i) and (ii) shall not exceed 5. How ever such nominations shall be restricted to not more than one for an affiliate
  • Subject to the policy laid down by the General Council, Hon.Members may be nominated to the Advisory Board or invited to E.C. as permanent invitees as and when required.

ASSOCIATE MEMBERS

Organisation of Officers in Banks and Financial Institutions, who are either ineligible for affiliation or for valid reasons are unable to take up affiliation but substantially agree with the objectives, policies and programmes of the Confederation may be admitted as Associate Members on such terms and conditions as may be decided by the Executive Committee

AFFILIATES

Any Central Organisation of Officers of a Bank or Financial Institution shall be eligible for affiliation with the Confederation

PROCEDURE FOR AFFILIATION/ADMISSION OF ASSOCIATE MEMBERS

1. The Confederation shall consist of organisations of Officers employed in banks and Financial Institutions, affiliated to it and associated with it, in accordance with the provisions of the Constitution. All primary members of the affiliated organizations and associates shall be deemed to be members of the Confederation.

2. ADMISSION:

  • Any organization eligible and desiring to be admitted as an Affiliate or Associate Member shall submit an application on Form I or Form II as the case may be accompanied by:
    • Certified and updated copy of its Bye-laws and Rules;
    • Copy of latest return filed by it with the Registrar of Trade Unions, in the case of Registered Unions;
    • Copy of latest Balance Sheet and Income and Expenditure account;
    • List of Office- bearers and Members of the Executive Committee;
    • Resolution of appropriate body seeking Affiliation with/Associate Membership of the Confederation and authorizing the General Secretary and/or any other office-bearers to sign the application and comply with other requirements for admission;
    • Subscription pro-rata for the period from the date of application to the end of the financial year of the Confederation;

3.AFFILIATION/ASSOCIATE MEMBERSHIP:

  • All applications for Affiliation/Associate Membership shall be placed before the Executive Committee, which shall have powers to accept or reject any application without being required to assign reasons for its decision;
    Provided that, in between the two meetings of the Executive Committee, the General Secretary may grant provisional affiliation to an applicant, if he is satisfied that prima facie the applicant is eligible for affiliation and has completed the requisite formalities;
  • Motions for Affiliation/Associate membership shall be decided by the Executive Committee by simple majority;
  • Decisions of the Executive Committee in regard to acceptance or rejection of any application for Affiliation/Associate Membership shall be final;
  • Affiliation/Membership certificates shall be issued to the organizations on Form III and IV;
  • The Executive Committee shall have power to waive or relax requirements of clauses (a) to (d) of Article 4.2 if the applicant agrees to comply with these requirements within such time as may be stipulated by the Executive Committee
  • Notwithstanding anything to the contrary, contained in Article 7 of the Constitution, if the Executive Committee does not ratify the provisional affiliation at its immediately following meeting, the affiliation shall cease forthwith.

4 ADMISSION FEE:

  • Every Affiliate/Associate Member shall be required to pay admission fee of Rs.500/-.

5 SUBSCRIPTION:

  • Every Associate member shall pay to the Confederation annual subscription of Rs.1000/- or any such less amount as may be decided by the Executive Committee having regard to the financial position of the Associate Member and/or other relevant factors.
    • Every Affiliate shall pay to the Confederation subscription as may be determined by the Executive Committee on the basis of the number of primary members on the rolls of such affiliate as on the 31st day of December of the previous year. The rate of subscription shall be Rs.20/- per annum for every primary member with a maximum of Rs.4 lakhs;
    • Provided that in the case of Affiliates which represent Officers of more than one Bank or Financial Institution, the subscription shall be calculated on the basis of the membership in each Bank/Financial Institution, subject to maximum as stipulated and the Affiliate concerned shall be liable to pay such aggregate amount of the subscription.
    • Provided further that in the case of affiliates with membership less than 500, the Executive Committee shall have power to fix such reduced rate of subscription, as may be expedient and in the interest of the Confederation;
  • The subscription shall become due on 1st January every year and may either be paid in one lump-sum or by half yearly/quarterly/monthly instalments. Affiliates who elect to pay the subscription in one lump-sum should do so before the end of March of the year to which the payment relates. Affiliates who elect to pay monthly/quarterly / half yearly instalments shall pay the 1st instalment before 31st January and subsequent instalments before the end of the month/quarterly/half year to which they relate;
  • If an Affiliate/Associate Member commits default in payment of subscription, the Executive Committee after due notice to the defaulting Affiliate/Associate Member, may strike off its name from the register of Affiliates;
  • The Executive Committee shall have powers to condone delay or default or to extend time for payment or impose fines as the circumstances of the case may warrant;
  • Without prejudice to the provision of clauses (c) and (d), the Executive Committee, if the circumstances so require, may debar the Affiliate/Associate Member and its nominees from participating in the meetings of the General Council or the State/Dist. Council or Sectoral Federation till arrears of subscription are cleared.

GENERAL COUNCIL

1. LEADERSHIP : AIBOC shall be led by serving officers only. Without prejudice to this basic approach, Ex-office-Bearers / Honorary Members may be honored associating them with the Advisory Board constituted by the Executive Committee depending upon the requirements from time to time.The members of the Advisory Board may be invited as “Permanent Invitees” for Executive Committee of such number as decided by Executive Committee from time to time. Such number of Honorary Members inclusive of members nominated to the Advisory Board should be within the number specified in clause 3.4 (b) of the Constitution of AIBOC.

  • On admission and thereafter once in every three years, in the month of January, each affiliate shall be required to nominate members, to form the General Council of the Confederation, on the basis of one member for every 200 primary members of the Affiliate subject to minimum of 2 and maximum of 100, so however, that in the case of Affiliates which represent Officers of more than one Bank,the maximum may be raised to provide for proportionate representation of the Officers of each bank but subject to the condition that nominees from any one Bank shall not exceed 100. Such nominations shall be on Form V.
  • Associate members shall nominate two members.
  • The members so nominated to the General Council shall hold office during the pleasure of the Affiliate and the Affiliate shall have the right to recall a member and substitute another in his place, by notice on Form VI to the Confederation. Such notice shall be signed by the President and General Secretary of the Affiliate.
  • Notwithstanding anything contained in clause 5.1(a), if the member of the General Council recalled or substituted by the Affiliate/Associate Member, happens to be an office-bearer of the Confederation, such recalling or substitution shall take effect only after the Executive Committee of the Confederation has met and made alternative arrangement for taking charge from such office-bearer, so however that if the Executive Committee fails to make such arrangement within a period of 3 months from the date of receipt of notice on Form-VI, the recall and/or substitution, shall take effect at the end of the period of 3 months and the office-bearer shall be deemed to have vacated his post;
  • If before the expiry of the period of 3 months, after a notice on Form-VI is received from an Affiliate/Associate Member, an ordinary or special meeting of the General Council is held, the member recalled or substituted shall be permitted to attend such meeting but shall not be entitled to vote on any motion before the house or to participate in the election;
  • The General Council shall be the supreme body of the Confederation and shall have powers to take all decisions relating to policy matters;
  • The General Council shall consist of Hon. Members and nominees of Associate Members and Affiliates, as provided in Article 5.1(a).

2. a. STATE COUNCIL/UNION TERRITORY COUNCIL:

  • The State/Union Territory Council consist of members nominated by affiliated organizations on the basis of one for every 100 primary members of each such organization, having their place of work within the State.
  • Members of the General Council having their place of work within the jurisdiction of the State/Union Territory Unit shall be ex-office members of the State Council

2 .b. DISTRICT COUNCIL:

  • The District Council shall consist of not more than five members nominated by each affiliated organization, from amongst its primary members having their place of workwithin the District.
  • The members of the State Council having their place of work within the District shall be ex-office members of the District Council.

2 .C. CITY/TOWN COUNCIL

  • The city/town council shall consist of not more than five members nominated by each affiliated organization from amongst its primary members having their place of work within the city/Town.
  • The members of the State/District council having their place of work within the City/Town shall be Ex-Office member of the city/town council.

3 .EXECUTIVE COMMITTEE:

  • The Confederation shall endeavor to group its affiliates into homogeneous Federations namely:
    • State Sector Banks’ Officers’ Federation;
    • Private Sector Banks’ Officers’ Federation;
    • Co-operative Sector Banks’ Officers’ Federation;
    • Regional Rural Banks’ Officers’ Federation;
    • State Sector Financial Institutions’ Officers’ Federation;
    • Private Sector Financial Institutions’ Officers’ Federation Working Women’s Wing
  • The Executive Committee shall consist of following office-bearers elected by the General Council and representative(s)nominated by (a) Affiliates and (b) Associate Members as provided in clauses (c) & (d) of this Article.

OFFICE-BEARERS:

    • One President
    • Ten Vice-Presidents
    • One General Secretary
    • Ten Jt.General Secretaries
    • Twenty Dy.General Secretaries
    • One Asst.General Secretary for each unit
    • Four Secretaries
    • One Treasurer
  • The representation on the Committee (i) for State Sector Banks shall be one for each Affiliate in the sector provided that, in the case of the Affiliates representing Officers of more than one Bank, there shall be one representative from each Bank. (ii) for Private Sector Banks, Co-operative Sector Banks and Regional Rural Banks, five, two and three respectively, for all the Affiliates put together, to be selected in consultation with the respective Federation and (iii) for State Sector Financial Institutions and Private Sector Financial Institutions 7 and 3 respectively.(iv) Two from womens wing.
  • Nominations to the Executive Committee:
    • Each Associate Member shall nominate one representative on the Executive Committee of the Confederation.
    • Nominees to the Executive Committee under Articles 5.3(b) shall be elected by the Executive Committee of the respective Affiliate/Associate Member/Sectoral Federation.
  • It shall be the duty and responsibility of the Executive Committee to implement the programmes, policies and directives of the General Council and to take all such measures as may be necessary within the frame work of this constitution for strengthening the organisational and financial position of the confederation.
  • When the General Council is not in session and the Executive Committee is of the opinion that it is not feasible to convene a meeting of the General Council to decide any matter of urgent nature which should ordinarily have been referred to the General Council except the matters set out in Article 8.4(a), the Executive Committee shall have the power and discretion to take such action as may be necessary and report the same to the General Council at the earliest possible opportunity.

4 .a.WORKING COMMITTEE:

  • The Executive Committee shall constitute a Working Committee consisting of not more than 52 members, drawn from the office-bearers.

4.b ADVISORY BOARD:

  • The E.C. may constitute an `Advisory Board’ depending upon the requirements from time to time drawn from the Office-Bearers, Hon.Members etc.-as defined in 3.4(a)(i) & (ii) of the Constitution consisting of not more than 15 members with a view to utilize the benefit of their knowledge, skill and experience in Trade Union, Banking etc.

4.c The Advisory Board will meet once in 6 months as per the requirements of the Executive Committee.

5. STATE COMMITTEE:

  • The State Committee shall consist of the following office-bearers elected by the State Council from amongst its members in the manner prescribed in this Constitution.
    • President
    • Not more than 6 Vice-Presidents
    • Secretary
    • Not more than 5 Organizing Secretaries
    • Treasurer
    • Assistant Treasurer
    • One Deputy Secretary from each affiliated organization
    • One Assistant Secretary from each District Unit.

6 .a.  DISTRICT COMMITTEE:

  • The District Committee shall consist of the following office-bearers elected by the District Council from amongst its members in the manner prescribed in this Constitution.
    • President
    • Two Vice-Presidents
    • Secretary
    • Three Assistant Secretaries
    • Treasurer
    • Assistant Treasurer

6 .b.  CITY/TOWN COMMITTEE:

  • City / town Committee shall consist of the following office-bearers: elected by the City/Town/Council from amongst its members in the manner prescribed in this constitution.
    • President
    • Two Vice-Presidents
    • Secretary
    • Three Assistant Secretaries
    • Treasurer
    • Assistant Treasurer

7. ORDER OF PRECEDENCE:

  • The various bodies constituted under the provisions of the Constitution, shall have the following order of precedence, in the matter of powers and authority:
    • General Council
    • Executive Committee
    • Working Committee
    • State Council
    • State Committee
    • District Council
    • District Committee
    • City/Town Council
    • City/Town Committee
  • In the event of any conflict in the stand, action, policy or decision between any two or more of the above bodies, the decision of the body higher among them in precedence in the above order shall have the overriding effect.

ELECTIONS

  1. AIBOC shall be led by serving Bank officers only. Without prejudice to this basic approach Ex-office bearers/Honorary Members may be honored by associating them with the Advisory Board constituted by the Executive Committee depending upon the requirements from time to time.
  2. Election to the various posts of office-bearers shall be held at the meetings of the General Council/State Council/District Council/ City /Town Council
  3. The General Council / State Council / District Council /City/Town Council,shall appoint as Returning Officer a member of the respective Council who declares in writing that he/she is not a candidate for any post for which elections are to be conducted;
  4. Only the members of the respective Councils shall be eligible to contest the elections;
  5. Candidature of every contestant shall be proposed and seconded by two separate members;

TENURE

  1. The tenure of Office-bearers and members of the Executive Committee shall be 3 years.
  2. Nominated members of the Executive Committee shall hold office during the pleasure of the Affiliates/Associate Members who have nominated them;
  3. The tenure of the Office-bearers of State Committees/District Committees/City/Town Committees, shall be three years.

INTERIM VACANCIES

  1. Vacancies in the Working Committee or the Executive Committee caused by death, resignation, removal or retirement shall be filled up by co-option by the Executive Committee from amongst the members of the General Council or by nomination as the case may be.
  2. Vacancies in the State Committees/Dist. Committees/ City / Town Committee caused by transfer, death, resignation, removal or retirement, shall be filled up by co-option by the respective committees from amongst members of the State/Dist.Council/City/Towns Council.

POWERS AND DISCIPLINARY PROCEDURE

  1. If in the option of the Executive Committee, the conduct of any office-bearer or member of the Executive Committee or of the State/Dist.Committee or Central Committee or Sectoral Federation is likely to bring the Confederation into contempt or disrepute or endanger the unity and integrity of the Confederation or if the member has acted contrary to the advice, directive, policy or resolution of the Executive Committee or the General Council or has refused to comply with such advice, directive, policy or resolution for any other good and sufficient reasons, it is expedient in the interest of the Confederation so to do, the Executive Committee shall have the power to remove from office, such office-bearer, member of Executive Committee or the State/Dist.Committee. Any person so removed by the Executive Committee shall be ineligible for being co-opted or nominated on the Executive Committee or the State Committee during the remaining period of the term of the respective Committee.
  2. The Executive Committee shall also have powers to terminate the affiliation/ Associate Membership of an organization, if any member, office-bearer or a representative of such organization engages in, acts violative of the discipline of the Confederation and despite directive issued by the Executive Committee of the Confederation that appropriate disciplinary action be taken by such organization against its errant member, office-bearer or representative, the organization neglects, fails or refuses to take such action. The Executive Committee shall also have powers to terminate the Affiliation/Associate Membership of an organization on any other ground mentioned in clause (1) of this Article.
  3. Any Affiliate or Office-bearer or member of Executive or State Committee/ Dist.Committee/Sectoral Federation against whom action is contemplated shall be informed about the charges and allegations against him and shall be given a reasonable opportunity of being heard.
  4. A member or office-bearer removed from membership/office of any organization – whose affiliation is terminated by the Executive Committee may appeal to the General Council at its next meeting.

MEETING

1. PERIODICITY:

  • The General Council shall meet once in 3 years at such place and time as may be decided by the Executive Committee;
  • The Executive Committee shall meet once in 6 months or more frequently if it is expedient so to do;
  • The Working Committee shall meet once in 4 months or more frequently if it is expedient so to do;
  • State/Dist.Councils shall meet once in every three years;
  • State/Dist.Committees shall meet once in three months

2. NOTICE:

  • notice of 90 clear days will be necessary for the ordinary meetings of the General Council;
  • Meetings of the Executive Committee and Working Committee may be called by giving 15 days and 7 days notice respectively;
  • Notice of 30 days will be necessary for ordinary meetings of the State/Dist.Council;
  • Meetings of the State Committees/Dist.Committees may be called by giving three days notice;
  • Notice shall be sent to registered addresses of the members by ordinary post;
  • Non-receipt of notice by a member shall not invalidate the proceedings of the meetings.

3. QUORUM:

  • The quorum for the meetings of the General Council, Executive Committee, Working Committee, State Council, Dist.Council, State Committee and Dist.Committee shall be 1/3rd of the number of members of the respective bodies;
  • If the quorum is not present within one hour of the time fixed for the commencement of the meeting, the meeting shall be adjourned to the next day. No quorum shall be required for the meeting held after such adjournment.

4. BUSINESS

  • The General Council at its Triennial Ordinary Session shall transact the following business:
    • Consider and adopt the report and audited statements of accounts;
    • Appoint Auditors;
    • Consider Amedments to Bye-Laws as recommended by the Executive Committee and/or the amendments by members of which due notice has been given;
    • ConsiderResolutions/propositions/ motions recommended by the Executive Committee and/or brought forward by members after giving due notice;
    • Election of office-bearers;
    • Any other matter with the permission of the Chair.
  • State/ Dist.Councils at their annual meetings shall transact the following business:
    • Consider and adopt the report and audited statements of accounts;
    • Appoint Auditors
    • Election of office-bearers;
    • Any other matter with the permission of the Chair.
  • c. Executive Committee, Working Committee, State Committees and Dist. Committees shall transact such business as may have been specified for, in the notice calling for the meeting. The Chairman shall, however, have the power to permit any other matter to be raised/discussed at the meeting;
  • d. The special meetings of the General Council/State Councils/Dist.Councils shall transact only the business specified in the requisition and/or notice.

5. DECISIONS:

  • All motions before the General Council,State/Dist. City/Town Council,Executive Committee or Working Committee unless otherwise specifically provided in this Constitution shall be decided by simple majority. Each member shall have one vote. The Chairman of the meeting shall not vote except when there is a tie;
  • If the General Secretary/Secretary/Secretary or the President fails to convene the meetings within a period of one month of receipt of the requisitioin, the requisitions shall have the right to hold the meeting and transact the business for which the meeting was requisitioned. The requirements of notice and quorum, as laid down in Article 8.2 & 8.3 shall apply to such requisitioned meetings. The meetings held by the requisitionists shall not be adjourned for want of quorum. If quorum is not available within the time specified, the meetings shall stand cancelled.

DUTIES OF CENTRAL OFFICE-BEARERS

1. PRESIDENT: The President shall be the constitutional head of the Confederation and his advice and guidance shall be taken in all matters. He shall preside over all the meetings of the Confederation. The President shall have powers to call emergency meetings of the Executive Committee or Working Committee.

2. VICE-PRESIDENTS: The Vice-Presidents shall assist the President in the discharge of his duties. In the absence of the President, the seniormost Vice-President shall act as the President.

3. GENERAL SECRETARY: The General Secretary shall be the executive head of the Confederation and shall perform all such functions as are necessary for achieving the objects of the Confederation. He shall conduct all correspondence, convene all meetings, maintain the connected records and generally exercise control over affairs of the Confederation. He shall prepare a report on the working of the Confederation and submit the same to the General Council at its Triennial Meeting after obtaining approval of the Executive Committee. The General Secretary shall be responsible for submitting the statements and returns as required under the Trade Unions Act or any other legislation.

4. JOINT GENERAL SECRETARIES:

  • Each Joint General Secretary shall be assigned specific functions like publicity and public relations, training etc., or control direction, co-ordination and supervision of one or more Sectoral Federations, Affiliates, State Units. Joint General Secretaries to whom charge of a Sectoral Federation is entrusted, shall be ex-official President of such Federation. In the event of General Secretary not being available for organizational work for long duration, the Executive Committee shall appoint one of the Joint General Secretaries, to act in place of the General Secretary.
  • Deputy General Secretaries: The Deputy General Secretaries shall be in-charge of one or more affiliates and shall make periodical reports to the General Secretary on the state of organisation in their respective area of operation. They shall take all steps to promote and secure the interests and image of the Confederation.

5. ASSISTANT GENERAL SECRETARIES:

  • a. Each Asst.General Secretary shall be in charge of one or more State Units. He shall liaise with the respective State/Zonal/Regional Units of the affiliates and help in bringing about coordination in their State Level activities. He shall seek advice and assistance from the Headquarters/Central Office of the affiliates and in internal organizational matters of the affiliates, be guided by the advice of the affiliate concerned and in emergency situation by the advice or direction of the General Secretary.
  • SECRETARIES: The Secretaries shall assist the General Secretary in secretarial work in all his duties and shall perform any specific or general function assigned to them by the Executive Committee.

6. TREASURER:

The Treasurer shall be responsible for collection of subscription and fees, the maintenance of the Accounts, Audit and for representation of statements to the General Council. He shall have custody and be responsible for all properties of the Confederation.

7. OFFICE-BEARERS OF THE STATE COMMITTEE:

  •  PRESIDENT: The President of State Committee shall preside over the meetings of the State Committee and give direction to the affairs and business of the Committee.
  • VICE-PRESIDENT: The Vice-President shall assist the President in the performance of his functions and shall act for him/her whenever he is away.
    • I. SECRETARY: Secretary of the State Committee shall convene periodical meetings of the Committee, maintain liaison with the Central Office of the Confederation, establish an effective communication system with general membership within the State and take all steps to promote the image of the Confederation in his area.
    • II. DEPUTY SECRETARIES: Dy.Secretaries shall generally assist the Secretary and shall perform such other duties as may be assigned by the State Committee.
    • III. ORGANISING SECRETARIES: The Organising Secretaries shall visit branches and offices of the Banks within the State and assist the units of the Affiliates in various Banks and activities in improving the organizational position and widening the membership coverage of the Confederation. They shall maintain liaison with the office-bearers of the District Council and render all assistance to the District Committees. They shall perform such other functions as may be entrusted to them by the State Committees.
    • IV. ASSISTANT SECRETARIES: Each Assistant Secretary will be in-charge of a district unit. He shall look after the interests and organizational position of the Confederation within the district. He shall act within the guidelines of the State Committee and report to the Secretary.
  • TREASURER: Treasurer of State Committee shall have the custody of funds of the State Council and shall look after maintenance of accounts.
  • ASSISTANT TREASURER:The Assistant Treasurer shall assist the Treasurer in all his functions and shall perform such other duties as may be assigned to him by the Secretary or the President.

8. DUTIES OF OFFICE-BEARERS OF THE DISTRICT COMMITTEE:

  • PRESIDENT:The President of the District Council shall preside over all the meetings of the Committee and give direction to the affairs and business of the Council.
  • VICE-PRESIDENT:The Vice-Presidents shall assist the President in the discharge of his duties. In the absence of the President, the seniormost Vice-President shall act as the President.
  • SECRETARY:Secretary of the District Committee shall convene periodical meetings of the Committee, maintain liaison with the State Office of the Confederation, establish an effective communication system with general membership within the district and take all steps to promote the image of the Confederation in his area.
  • ASSISTANT SECRETARIES:Asst. Secretaries shall assist the Secretary in performance of his functions. They shall also perform any specific duty as may be assigned by the District Committee.
  • TREASURER:Treasurer of Dist.Committee shall have the custody of funds of the Dist.Council and shall look after maintenance of accounts
  • ASSISTANT TREASURER:The Assistant treasurer shall assist the Treasurer in all his functions and shall perform such other duties as may be assigned to him by the Secretary or the President.

9. DUTIES OF OFFICE BEARERS OF CITY/TOWN COMMITTEE AS FOLLOWS

  • President: The President of the City/town council shall preside over all the meetings of the committee and give directions to the affairs of the council
  • Vice-President: The Vice Presidents shall assist the president in the discharge of his duties. In the absence of the president the senior most Vice-President shall act as the president.
  • Secretary: Secretary of the City/Town committee shall convene periodical meetings of the committee, maintain liaison with the state office of the confederation, establish an effective communication system with general membership within the district, city/town and take all steps to promote the image of the Confederation in their area.
  • Assistant Secretaries” Asst. Secretaries shall assist the secretary in performance of his/her functions. They shall also perform any specific duty as may be assigned by the City/Town committee.
  • Treasures: Treasurer of City/Town committee shall have custody of funds of the City/Town council and shall look after maintenance of accounts.
  • Assistant Treasurer: The Assistant Treasurer shall assist the Treasurer in all his/her functions and shall perform such other duties as may be assigned to him by the secretary or the president.

FUNDS

1. CUSTODY: All the Funds of the Confederation shall vest in the Executive Committee and shall be deposited in a Bank/Co-operative Society approved by it. The Account(s) shall be operated upon by the President/General Secretary or any one of the Joint General Secretaries jointly with the treasurer or any other person(s) nominated by the Executive Committee.

2. The Executive Committee may allot funds to the Sectorial Federations on the basis of their annual budgets. The Federation shall submit monthly statements of accounts to the Central Office of the Confederation.

3. The funds of the Confederation shall not be spent on objects other than those specified in section 15 of the Trade Unions Act or as specifically authorized by the Executive Committee.

4. With reference to the financial position of the Confederation, the General Council shall decide from time to time, the benefits which could be given to the members. If a member goes on strike without the sanction of the Confederation, it shall not be entitled for any benefit. The Confederation may also impose such other penalty on such affiliate as it may deem fit subject to the provision of this Constitution.

5. State Committees/District Committees City/Town Committees and Sectorial Federations may raise funds by way of annual/monthly contribution from the members of State/District Councils and affiliates from the respective sector. They shall render to the Central Office of the Confederation, an account of funds raised and expenditure incurred by them, at quarterly intervals.

6. Statements of accounts for the period commencing from the previous meeting of the General Council, duly audited by an Auditor appointed by the General Council shall be submitted to the General Council at the triennial meeting.

7. The books of accounts, and other records may be inspected by any Affiliate on giving 7 days notice to the General Secretary.

8. The Executive Committee may, when necessary, allot funds to the State Committee to bridge in their annual budget.

9. The Executive Committee shall have the discretion to provide financial assistance by way of loan or grants, as the circumstances may warrant to the Central Trade Union of Professional Workers to which the Confederation is or may be affiliated hereafter.

10. The Executive Committee may open accounts or cause accounts to be opened in the name of the State Units/District Units City/Town Unit at the Headquarters of the State Unit/Dist.Unit, City/Town with such Bank or Co-operative Society as may be decided upon and may authorise the President and/or Secretary/Convener of the concerned State/District Unit City/Town Unit to operate upon the account jointly with the Treasurer of the State/Dist.Unit. City/Town Unit or any other person designated by the Executive Committee of the State Unit/Dist.Unit.City/Town Unit.

11. The Executive Committee may open or cause accounts to be opened in the name of the Federation(s) at such place and with such bank or Co-operative Society as may be decided upon and may authorize the President and/or Secretary of the Federation to operate upon the account(s) jointly with the Treasurer of the Federation or any other person designated by Executive Committee.

12. The Financial Year of the Confederation shall be the twelve months period ending with December.

13. At the end of each financial year, the Central Office, the State Units/District Units/ City/Town Units and Sectorial Federations shall draw up balance sheets, income and expenditure accounts, which shall be placed before the Executive Committee at the earliest possible opportunity, for approval.

14. The Central Office shall arrange for the audit of the accounts of the State Units/District Units/City/Town Units and Sectorial Federations through a locally based member of the Executive Committee or through such other person or agency as may be decided by the General Secretary in consultation with the President.

15. The General secretary shall arrange for the audit of the accounts of the Confederation as early as possible after the closure of the financial year

16. General Fund: Surplus generated after meeting the expenses of the year shall accrue to the General Fund.

17. Contingency Fund: The Confederation may set up, for the specific purpose of providing relief to members who may suffer victimization at the hand of the Management, for legitimate trade union activities and for providing financial support to struggles launched either by the Confederation or other organizations, to defend trade union rights and constitutional rights of the Officers and workers, a contingency fund, by raising contributions/donations from the Officers, affiliated organizations and/or from the public.

18. Other Funds: The Confederation may set up special funds,for any specific purpose such as Building Fund, Educational Fund, Benevolent Fund and other by raising contributions/donations from the Officers, affiliated organizations and/or from the public

MEMBERSHIP REGISTER

  1. A general Register showing therein the names and addresses of all Affiliates/Associate Members, their primary membership, subscription due and paid and such other particulars as the Executive Committee may specify, shall be maintained at the Central Office of the Confederation.
  2. The Registers maintained at any office of the Confederation shall be made available for inspection by any member/affiliate of the General Council/State Committee and District Committees/City/Town Committees of the Confederation on requisition.
  3. A subsidiary Register shall be maintained at the Office of each State/Dist. City/Town Unit showing therein, names of the Affiliate/Associate Members, having branch/regional/zonal units within the State/District, City/Town number of members of each Affiliate/Associate Member, in the State/District City/Town and such other particulars, as the Executive Committee may specify.
  4. A subsidiary Register shall be maintained at the Headquarters of each Sectorial Federation, showing therein, the names of the affiliates, their primary membership and such other particulars as the Executive Committee may specify.
  5. Registers shall also be maintained at the Central Office and Offices of State / District City / Town Units showing names, official / residential addresses and telephone numbers and such other particulars as the Executive Committee may specify in respect of each member of the respective Council

RULES

1. The Executive Committee may frame rules not repugnant to the objects and provisions of this Constitution, for purposes of carrying out the functions of the Confederation and for all such matters not provided for in these bye-laws.

2. Without prejudice to the generality of the foregoing power, the Executive Committee may frame rules for:

  • Conduct of the business at meetings of General Council, Executive Committee and Working Committee, State Council and State Committees;
  • Conduct of General Council/State Council members, Executive Committee/State Committee Members, Office-bearers and others;
  • Conduct of elections;
  • Delegation of authority and powers to office-bearers;
  • Affiliation with other organizations;
  • Inspection of register of members and accounts;
  • Reference of disputes for arbitration;
  • Remuneration and other terms and conditions of staff of the Confederation;
  • Reimbursement of traveling expenses to the Office-bearers;
  • Allocation of funds, sanction of expenditure and maintenance of accounts.

LEGAL PROCEEDINGS

  1. The Confederation, a body corporate, may sue or be sued in the name of its General Secretary or in the name of any other person, so authorized by the Executive Committee, in respect of its own interests, rights and obligations.
  2. The Confederation may take legal proceedings in the name of its General Secretary or in the name of any other person so authorized by the Executive Committee, on behalf of its affiliate members, or on behalf of the Bank Officers collectively, or on behalf of a class of Officers, or on behalf of any individual Officer, if specifically authorized by him, for enforcement of protection of their legal and fundamental rights connected with or arising out of employment or non-employment or the terms of employment or the conditions of service or any one or more of them.

INTERPRETATION & REMOVAL OF AMBIGUITIES

  1. The Executive Committee may issue clarifications for removal of ambiguities and such clarifications shall be treated as part of the Constitution. All such clarifications shall be placed before the General Council at its next session for ratification.
  2. Any dispute in regard to the interpretation of any provision of this Constitution, or actions taken by any Committee/Body/Functionary, constituted under the Constitution or the Rules made by the Executive Committee or any dispute between an office-bearer and member or between two members or any dispute relating to the conduct of affairs of the Confederation shall be submitted for arbitration. For this purpose, the Executive Committee shall constitute a panel of Arbitrators and lay down the procedure for reference of disputes for arbitration.

AMENDMENT OF BYE-LAWS

  1. All proposals for amendment to the Constitution shall be placed by the Executive Committee before the General Council at its triennial ordinary meeting. All such motions shall require the support of two-thirds of the members of the Council present and voting.
  2. Any other member of the General Council desiring to move an amendment to the Constitution shall give notice of the motion to the General Secretary at least 45 days before the meeting.

CODE OF DISCIPLINE

The Confederation shall abide by the Code of Discipline.

DISSOLUTION

The Confederation shall not be dissolved except on a motion passed by 3/4th of members of the General Council, at a meeting specifically convened to consider the motion. The assets of the Confederation on dissolution shall be disposed off in accordance with the decision of the meeting.
